Bylaws of IEES – International Ecological Engineering Society

ARTICLE I – NAME AND PLACE

1. This international society is named “INTERNATIONAL ECOLOGICAL ENGINEERING SOCIETY” or “IEES

2. The location of the IEES office is determined by the IEES Board.

ARTICLE II – PURPOSE AND ACTIVITIES

1. The International Ecological Engineering Society (IEES) is a not-for-profit organization uniting private persons and organizations dealing with ecological engineering.

2. The foremost aim of the IEES is the public interest.

3. The aims of the IEES are to:
* use ecological engineering as a tool to protect and improve the environment
* promote contact between scientists and eco- engineers from different countries and coordinate their activities
* improve the cooperation between ecologists and engineers
* promote and apply ecological engineering
* exchange information in the field of ecological engineering among scientific and educational organizations and private enterprises, as well as non- governmental organizations and governmental bodies.
4. To achieve these aims, the IEES:
* initiates, coordinates, and runs international research and application projects
* organizes international conferences, meetings and courses in ecological engineering
* publishes scientific studies and popular scientific material in ecological engineering.
5. The IEES does not certify anyone as a practicing ecological engineer, nor does it give any other credentials for ecological engineers.

ARTICLE III – MEMBERSHIP

1. Membership of the IEES is open to anyone who wishes to promote its aims. It is open to both private citizens and juristic persons.
2. Applications for membership must be made in writing and will be reviewed and registered by the IEES Office.
3. Membership is terminated if the membership fee is not paid.
4. A member can be expelled from the IEES if he/she acts intentionally against the interests of the IEES. The IEES Board decides on expulsion by a 2/3 majority.

ARTICLE IV – BODIES OF THE IEES

1. The bodies of the IEES are
* the General Meeting of all members of the IEES (General Meeting of the IEES)
* the IEES Board
* the IEES Office.

ARTICLE V – GENERAL MEETING OF THE IEES

1. General Meetings of the IEES are held every year. The metings shall be convened by the Co-Presidents at least four weeks in advance and in writing.
2. The General Meeting of the IEES receives the annual business report of the IEES, made by the IEES Board and the IEES Office.
3. The General Meeting of the IEES
* elects the members of the IEES Board;
* approves bylaws proposed by the IEES Board.
* sets the membership fee
4. Elections and approvals may also be handled through mailings coordinated by the IEES Office.

ARTICLE VI – THE IEES BOARD

1. The IEES Board consists of the following positions, elected by the membership:
* 2-3 IEES Co-Presidents;the
* IEES Secretary;
* the IEES Treasurer;
* 1-15 members of IEES.
2. The IEES Secretary and the IEES Treasurer may be the same person.
3. The IEES Board runs the business affairs of the IEES. It is responsible for the annual business report.
4. The Board may suggest bylaws in order to regulate
* Governance of the IEES
* Organizing and running meetings
* Elections
* IEES project procedures
* Removal of members.
5. Meetings of the IEES Board shall take place as deemed necessary. The IEES Board meetings shall be convened by the Co-Presidents at least four weeks in advance and in writing.
6. The IEES Board decides about place, staff and tasks of the IEES Office.

ARTICLE VII – CIRCULARS TO THE MEMBERS

1. The members will receive an IEES Newsletter or a similar document for announcements or news of the IEES. The material may be integrated into an appropriate international journal.

ARTICLE VIII – REGIONAL GROUPS, ECOLOGICAL ENGINEERING CENTERS AND COMMITTEES OF THE IEES

1. Regional groups or Ecological Engineering Centers associated to IEES can be established. Their association shall be subject to approval by the IEES Board.

ARTICLE VIII – REGIONAL GROUPS

2. Members of associated regional groups or Ecological Engineering Centers shall be members of IEES.
3. Associated regional groups or Ecological Engineering Centers shall accept and follow the articles of the IEES.
4. Associated regional groups or Ecological Engineering Centers shall inform the IEES Board about their activities annually.
5. The IEES Board may establish committees as required for the performance of its duties and may select members to serve on committees from among the membership of the IEES.

ARTICLE IX – LIQUIDATION

1. If liquidation of the assets of the IEES is necessary, the IEES Board is the liquidator.
2. Liquidation requires a 2/3 majority of the membership.
3. After liquidation the remaining assets of the IEES are to be devolved upon a similar, not-for-profit organization.
